These terms govern your use of nine71.ai and the products offered on it (the “Service”), operated by nine71 AI, Inc. (“nine71”, “we”, “us”). By using the Service you agree to them. If you do not agree, do not use the Service.
You must be at least 18 years old, or the age of majority where you live, and able to enter into a binding contract. If you use the Service on behalf of an organisation, you confirm you are authorised to bind that organisation, and these terms apply to it.
Some parts of the Service require an account. You are responsible for what happens under your account and for keeping your credentials secure. Tell us promptly if you believe your account has been used without your permission.
You keep all rights in the audio, artwork and other material you submit. You grant us a limited, non-exclusive licence to host, process and analyse that material in order to operate the Service, return results to you, and maintain and improve the Service. We do not use it for any other purpose.
You confirm that you own the material you submit or have the rights necessary to submit it, and that submitting it does not breach anyone else’s rights or any agreement you are party to.
We do not publish material you submit, and we do not make it available to other customers.
Separately from anything you submit, nine71 analyses recordings of public performances that it sources itself. Rights in that material remain with their owners; we make no claim to it, we do not redistribute it, and the results we publish are our own observations about it. If you hold rights in material we have analysed and want it removed, write to hello@nine71.ai and we will remove it.
The Service returns measurements, rankings and comparisons. These are analytical outputs, provided for information. They are not a valuation, a guarantee of commercial performance, or advice, and no result should be treated as a prediction of any outcome.
You may use results for your own business purposes, including sharing an individual result with an artist, promoter, label or other counterparty. You may not resell results, offer them as a product of your own, publish them in bulk, or use them to build a competing service.
The Service, and everything in it other than material you submit — including the software, the methods behind it, the interfaces, and the nine71 name and marks — belongs to nine71 or its licensors. Nothing in these terms transfers any of it to you.
Where a plan is paid, the fees, billing period and any minimum term are those set out in your order form or, where a plan is offered self-serve, on the checkout page. Fees are exclusive of tax unless stated. Unless your order says otherwise, fees already paid are not refundable.
We work to keep the Service available but do not guarantee uninterrupted access. We may change, suspend or discontinue any part of it. Where a change materially reduces a paid feature you rely on, we will give reasonable notice.
To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability arising out of or relating to the Service is limited to the amounts you paid us in the twelve months before the event giving rise to the claim, or one hundred US dollars if you have paid us nothing.
Nothing here excludes liability that cannot lawfully be excluded.
You will defend and indemnify nine71 against claims arising from material you submit or from your use of the Service in breach of these terms.
You may stop using the Service at any time. We may suspend or terminate access if you breach these terms or if we are required to by law. Sections that by their nature should survive termination will survive it.
We may update these terms. If a change is material we will give notice through the Service or by email. Continuing to use the Service after a change takes effect means you accept the updated terms.
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and the state and federal courts located there have exclusive jurisdiction.
